Terms of Service

1. Definitions

• "Platform" means the Rupenet Legal web application, mobile applications, APIs and related services
• "Tenant" means the organisation (law firm, company, individual advocate) that subscribes to the platform
• "User" means any individual authorised by a Tenant to access the platform
• "Client Data" means all data entered, uploaded or generated by a Tenant or its Users on the platform
• "AI Services" means the AI-powered research, drafting, review and analysis features of the platform
• "Subscription" means the paid plan selected by the Tenant, including features, user limits and AI quotas

2. Account & Eligibility

• You must be at least 18 years of age to create an account
• You must provide accurate, complete and current registration information
• Advocate accounts require a valid Bar Council enrolment number for verification
• You are responsible for maintaining the security of your account credentials
• You must immediately notify us of any unauthorised access to your account
• One person or entity may not maintain multiple accounts without prior approval

3. Subscriptions, Billing & Payments

• Subscriptions are billed in advance on a monthly or annual basis as selected
• All prices are exclusive of GST unless stated otherwise; applicable GST will be charged
• Payments are processed through PCI DSS-compliant payment partners
• Failed payments will be retried for up to 7 days; accounts may be suspended after 15 days of non-payment
• Upgrades take effect immediately; downgrades take effect at the next billing cycle
• Refunds are available within 14 days of initial subscription for annual plans (pro-rated); monthly plans are non-refundable
• AI credit packs and add-ons are non-refundable once consumed
• We reserve the right to modify pricing with 60 days' prior notice

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law
• Upload malicious code, viruses or any harmful content
• Attempt to gain unauthorised access to other Tenant accounts or platform infrastructure
• Reverse engineer, decompile or attempt to extract source code from the platform
• Use the AI Services to generate content that impersonates legal advice from Rupenet
• Scrape, harvest or bulk-extract data from the platform by automated means
• Resell, sublicense or redistribute access to the platform without written approval
• Use the platform in a manner that violates Bar Council of India professional conduct rules
• Upload content that infringes on intellectual property rights of third parties
• Attempt to circumvent usage limits, rate limits or security controls

5. Client Data Ownership & Responsibility

• Your data remains yours. Rupenet does not claim ownership over any Client Data
• You grant Rupenet a limited licence to process Client Data solely for providing the platform services
• You are responsible for the accuracy, legality and appropriateness of all Client Data
• You must ensure you have all necessary consents and authority to upload Client Data, including client information
• You are responsible for maintaining professional obligations of confidentiality and privilege over Client Data
• Upon subscription termination, you may export your Client Data within 90 days

6. AI Services — Terms & Limitations

• AI outputs are generated using machine learning models and may contain errors, omissions or outdated information
• Citations and legal references provided by AI must be independently verified for accuracy and currency
• AI-generated drafts require human review and approval before use in any legal proceeding or communication
• Rupenet does not guarantee the accuracy, completeness or legal validity of any AI output
• AI query quotas are based on your subscription plan; unused credits do not roll over
• We may update AI models, features and capabilities; material changes will be notified in advance
• Your data is never used to train AI models without explicit written consent

7. Intellectual Property

• The platform, including its design, code, features, documentation and branding, is owned by Rupenet and protected by intellectual property laws
• Your subscription grants a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose
• Content you create using the platform (documents, drafts, research) belongs to you
• Feedback, suggestions and feature requests you provide may be used by Rupenet to improve the platform without obligation

8. Service Availability & SLA

• We target 99.9% platform uptime (excluding scheduled maintenance)
• Scheduled maintenance windows will be communicated at least 48 hours in advance
• Enterprise plans include SLA-backed uptime commitments with service credits for downtime
• We are not liable for downtime caused by force majeure, internet disruptions, third-party service failures or your own systems
• We may temporarily suspend access for security reasons, maintenance or legal compliance

10. Indemnification

You agree to indemnify and hold Rupenet harmless from any claims, damages, losses, costs and expenses (including legal fees) arising from: (a) your violation of these Terms; (b) your use of the platform; (c) your Client Data; (d) your violation of any third-party rights; or (e) any claims arising from your professional practice conducted through the platform.

11. Termination

• You may terminate your subscription at any time from account settings
• We may suspend or terminate your account for violation of these Terms, with notice where practicable
• Upon termination, your right to access the platform ceases immediately
• You have 90 days after termination to export your Client Data
• After the export period, Client Data will be deleted in accordance with our retention policy
• Provisions that by their nature should survive termination (IP, liability, indemnity, disputes) will survive

12. Dispute Resolution

• These Terms are governed by the laws of India
• Any dispute shall first be attempted to be resolved through good-faith negotiation for 30 days
• If negotiation fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi
• The courts at New Delhi shall have exclusive jurisdiction for any matters not subject to arbitration

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be notified via email and in-app notification at least 30 days before they take effect. If you do not agree to the updated Terms, you may terminate your subscription before the effective date. Continued use after the effective date constitutes acceptance.
